Abstract In LA Micro Group (UK) Ltd v Inc [2023] EWCA Civ 214, the Court held that under an express trust with A as trustee and B beneficiary, a constructive sub-trust could arise sub-trustee beneficiary sub-trust, resulting in dropping out of picture legal title interest merging A. It is argued Court’s reasoning conceptually untenable given inherent instability circular structure; better view remedy was sui generis equitable order.
